Terms of Use

Effective Date: 1. July 2025.

Thank you for choosing Reazy ("Reazy", "we", "our" or "us"). These Terms of Use ("Terms") form a binding legal agreement between Reazy DOO, Obreška bb, 81400 Nikšić, Montenegro (the "Company") and the person or entity that registers an account to use the Reazy software-as-a-service platform ("Customer", "you" or "your"). By creating an account, clicking “I agree”, or accessing the Site https://www.reazy.me (the "Site") or any related applications or services (collectively, the "Service"), you confirm that you have read, understood and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, you must not use the Service.

1. The Service

Reazy provides a unified workspace that enables reservation-driven venues (such as restaurants, cafés, bars, etc.) to:

- Create and manage reservations and visual floor-plans;
- Store guest data and visit history via an integrated customer-relationship-management system (CRM);
- Collaborate across multi-role teams with real-time updates; and
- Build branded self-service booking portals and digital catalogues.

2. Your Account and "Stores"

We use the information we collect to:

1. Account Ownership. One Reazy account can own and control multiple venue workspaces, each referred to in these Terms as a “Store.” A Store typically represents a single physical location of your business.
2. Roles and Users. Within your account you may add additional user profiles (e.g., managers, employees, seasonal staff) and assign them permissions. You are responsible for all activity occurring under your account and for each user's compliance with these Terms.
3. Information Accuracy. You agree to provide accurate, current and complete information when creating Stores, adding users, or configuring settings, and to keep such information updated.

3. Fees and Billing

1. Subscription & Usage Fees. Each Store is subject to (a) a recurring subscription fee billed on a monthly or annual cycle that grants continued access to the core functionality, and (b) variable usage-based fees (for example, per-reservation or per-order fees).
2. Pricing Details. Current fee schedules and plan features are published on our Pricing page (the "Pricing Page"), which is incorporated by reference into these Terms. We may update pricing from time to time as described under Section 11 (Changes).
3. Taxes. Fees are exclusive of all applicable taxes, levies or duties imposed by taxing authorities, and you are responsible for payment of all such taxes except those based on Reazy's income.
4. Payment Method. You authorize us to charge all fees to the payment method you provide. You must maintain valid payment details throughout your subscription term.
5. Late Payments. If any charge is declined or overdue, we may suspend or terminate your access to the Service after providing email notice and a reasonable cure period.

4. Refund Policy

We want you to be satisfied. If you are unsatisfied for any reason, you may request a refund within fourteen (14) days of the original charge. The following applies:

- Subscription fees for the most recent billing period are fully refundable upon request made within the 14-day window.
- Unit-based usage fees (e.g., per-reservation, per-order or per-portal fees) are also refundable in most cases. However, Reazy reserves the right to deny or limit a refund if we determine, in our reasonable discretion, that the Service was abused—such as by generating disproportionate system load or fraudulent activity—solely to incur high refundable costs.
- Refunds will be issued to the original payment method. Processing times may vary depending on your financial institution.

Nothing in this Section limits any statutory rights that cannot be waived.

5. Acceptable Use

You agree not to, and not to permit anyone under your control to:

1. Use the Service in violation of any applicable law or regulation;
2. Copy, modify, or create derivative works of the Service or any content owned by Reazy, except as expressly permitted;
3. Reverse engineer, decompile or disassemble any portion of the Service;
4. Interfere with or disrupt the integrity or performance of the Service;
5. Upload or transmit any malicious code; or
6. Use the Service to transmit unsolicited communications (spam) or to store or transmit infringing, defamatory or otherwise unlawful content.

6. Data Protection & Privacy

Our collection and use of personal information is described in the Reazy Privacy Policy. You acknowledge that you have reviewed and understood that policy.

7. Intellectual Property

Reazy retains all right, title and interest in and to the Service, including all related intellectual-property rights. You retain all rights in Customer Data (defined below) and grant Reazy only those limited rights necessary to provide the Service.

8. Customer Data

1. Definition. "Customer Data" means any data, content or materials that you or your employees, managers, or other personnel who hold a user account within a Store ("Store Users") submit to the Service. For clarity, if a Store's end-customer creates their own account (e.g., through a customer-facing portal) and submits reservation information, that end-customer retains ownership of their personal profile and associated reservation data.
2. License. You grant Reazy and its service providers a worldwide, non-exclusive, royalty-free license to host, copy, process and transmit Customer Data for the purpose of providing and improving the Service.
3. Responsibility. You are solely responsible for the accuracy, quality and legality of Customer Data and the means by which it is acquired.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential.

10. Confidentiality

1. Disclaimer. The Service is provided "as is" and "as available" without warranty of any kind. To the maximum extent permitted by law, Reazy disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
2. Limitation. Except for liability that cannot be limited by law, neither party shall be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenues, whether incurred directly or indirectly, or for loss of data.
3. Cap. Reazy's aggregate liability under these Terms shall not exceed the total amount paid by you to Reazy in the twelve (12) months preceding the claim.

11. Changes

We may modify these Terms or the Service from time to time. We will notify you of material changes at least thirty (30) days before they take effect. By continuing to use the Service after the effective date, you agree to the revised Terms.

12. Termination

1. By You. You may cancel your subscription at any time by contacting us at support@reazy.me. Termination is effective at the end of the then-current billing cycle unless agreed otherwise. Sections intended to survive termination shall so survive.
2. By Reazy. We may terminate or suspend your access for material breach upon written notice if such breach is not cured within fifteen (15) days.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Montenegro, without regard to conflict of law principles. Before initiating any legal action, you agree to attempt to resolve any dispute with us informally by contacting support@reazy.me. If a resolution cannot be reached within 30 days, any disputes will be resolved by binding arbitration in Montenegro, unless prohibited by local law.
